1. We get to know you and your practice and SHOW YOU what your FMV (Fair Market Value) is |
7. They are told that the expectation is that any LOI offer, if both sides wish for it to happen, should be AT OR ABOVE THE FMV DETERMINATION. |
2. Once you give us permission, we will look at a NUMBER OF FACTORS (DSO model, what stage of growth they are in, their management teams, their reputation, their financial stability and resources, their culture, your needs in terms of your financial/debt situation and the terms that would work best for you, etc.) and then we come up with a PRIMARY MATCH. |
8. The DSO will discuss with us, as your representative, the TOTAL OFFER AMOUNT, the terms, etc., before submitting to you, giving us the opportunity to do an initial negotiation of any of the terms to be more to your liking before you receive it. |
3. We introduce you to one another (and be present) on a ZOOM call to see if there is a potential mutual interest in pursuing a partnership. |
9. We review the LOI with you and discuss your thoughts and whether you wish for there to be any other negotiating before signing or declining it. |
4. The DSO meets with you in person – at your office during off hours – go to dinner, etc. |
10. We RARELY have to go beyond the FIRST MATCHED DSO; in fact, we’ve only once had to go beyond 2! |
5. We assist you in getting them the information they need to do an analysis and potential make an offer. |
11. Our track record is that 97% of the matched DSO deals happen at, or above, the FMV we have determined your practice was worth! |
6. They are given 30–40-day EXCLUSIVITY PERIOD to do this – they are the current #1 match – and this gives you and them, without stress, the ability to see if you like one another. |
